2) Website use
- You agree to use this website lawfully and not to misuse it (including attempting to disrupt, hack, or interfere with the site).
- Product descriptions and images are provided for information. Minor variations may occur.
- We may update the site and its content from time to time.
3) Prices and quotations
Any quoted price does not constitute an offer of sale. Prices are subject to confirmation by MSL upon receipt of an order.
We reserve the right to change specifications and prices without notice.
Prices shown on the website may exclude delivery charges, special packing, insurance, duties/taxes (where applicable),
and any other charges unless stated otherwise at checkout or in a written quotation.
4) Payment (Settlement terms)
Unless otherwise agreed in writing, settlement terms are Net 30 days for approved account customers.
For card/online checkout orders, payment is taken at checkout unless stated otherwise.
Punctual payment is of the essence. Where payment is due in instalments, payment of instalments is a condition precedent to further deliveries.
5) Delivery, part deliveries, packing, insurance, and carriage

Delivery dates are approximate only and not of contractual effect. Time is not of the essence for delivery.
- Where an order includes multiple items, we may dispatch items as they are completed (“part deliveries”). You agree to pay invoices for part deliveries in line with settlement terms.
- Packing, insurance and carriage may be added to invoices unless otherwise agreed. We will insure consignments unless instructed otherwise.
- Prices do not include F.O.B. charges or special packing unless stated. Reasonable additional costs incurred to meet special routing/packing requests will be added to the invoice.
6) Inspection and acceptance
If the purchaser desires to inspect the goods, such inspection must be made at the vendor’s works and notification of this requirement must be given at the time of placing the order.
Approval on inspection constitutes acceptance.
7) Title (Property in the goods)
Unless expressly agreed otherwise, title to the goods remains with MSL until payment is received in full.
Returning goods after acceptance does not prevent MSL from pursuing legitimate charges/damages directly arising from the return.
8) Cancellations (Business-to-business orders)
If an order is cancelled more than 15 days after it was placed, MSL may claim damages of 50% of the value of the order.
MSL may rely on any security provided by the purchaser (subject to the purchaser’s prior right to settle the claim).
Note: This clause applies to non-consumer / business purchases. Consumer cancellation rights are covered in Section 12.
9) Warranty
MSL warrants that the goods are of good quality and workmanship and that we have title and the right to sell them.
Unless otherwise documented, warranty is effective from the date of first dispatch (“appointed date”) for 12 months.
- During the warranty period, MSL will replace, free of charge (ex works), any parts found defective, provided the goods/parts are returned to our works carriage paid.
- Repaired goods or replacement parts will be returned carriage paid by MSL.
- The warranty does not apply where goods have been used beyond normal performance specification or misused, modified, or subjected to improper handling.
10) Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud,
or any liability that cannot be excluded under applicable law.
Subject to this, and except as expressly provided in these Terms, MSL shall not be liable for any loss, damage, injury,
or consequential loss arising from the goods or from breach or default howsoever caused.
All warranties, conditions and representations (whether express or implied by statute, common law, trade usage or otherwise)
are excluded to the fullest extent permitted by law.
11) Force majeure
MSL is not liable for failure or delay in performance caused by events beyond our reasonable control, including (without limitation)
acts of God, storms, government actions, export restrictions, confiscations, war, and other similar events.
12) Consumer returns (cooling-off period)
If you are a consumer (an individual acting outside of your business or profession), you may have a statutory right to withdraw from your purchase
within a cooling-off period. Where applicable, you must notify us of your cancellation and return the item to us within the required timeframe.

- Please package items securely and use a tracked/recorded delivery service for your protection.
- You are responsible for return shipping costs unless we delivered the item in error or the item is faulty.
- We will refund the purchase price and the item’s standard postage charge (we cannot refund premium/express/courier components).
- We may arrange collection of an item at your cost if we do not receive it back.
Software: We cannot accept cancellations for software where the product packaging has been opened, except where required by law.
13) Governing law and disputes
Unless otherwise stipulated in writing, these Terms and all relations and agreements between the parties are governed by the laws of England.
Any disputes arising under or in connection with these Terms shall be submitted to arbitration of the London Court of International Arbitration (LCIA)
in accordance with its rules in force at the time. Service of notices to the addresses provided by the parties shall be valid.
14) Changes to these Terms
We may update these Terms from time to time. The version published on this website at the time you place an order will apply to that order.
15) Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
